Explain My Book (EMB) is not responsible or to be held liable for anything posted on this website. All postings are the opinions of the user only and do not reflect the opinions of EMB or EMB's employees or associates.

T&C's General Concepts:

1. Your relationship with Explain My Book LLC (referred to as EMB)
   1.1 You are subject to this agreement with use of our service and website, referred to as the "Services" hereafter.
   1.2 These are the minimum universal terms
   1.3 Any terms beyond these are additional or special terms
   1.4 Combining 1.2 & 1.3 creates a legally binding agreement
   
2. Accepting the Terms
   2.1 You must agree to these Terms in order to use EMB's website
   2.2 Acceptance will be validated by:
   
   • Checking the box at registration to accept these Terms.
   • Use of services provided by EMB.
   2.3 You may wish to print this document for reference.
   
3. Language
   3.1 English is the only language governing this contract
4. Provision of the Services by EMB
   4.1 EMB may have subsidiaries
   4.2 You acknowledge and agree that EMB may change the way services are offered to you without prior notice to you.
   4.3 EMB may stop offering services to you or all users at any time without prior notice. You may stop using EMB's services at any time.
   4.4 You acknowledge and agree that if your account is disabled by EMB you will not be able to access your personal information.
   4.5 You acknowledge and agree that there are no limits to any usage at this time but EMB may decide to set limits at any time without notifying any users.
5. Use of EMB by you
   5.1 You agree to provide EMB with accurate and current information in your registration, including but not limited to information about yourself and contact details.
   5.2 You agree that usage will only be for purposed permitted by these terms and any applicable laws.
   5.3 You agree not to access or attempt to access any part of EMB's website except thru the interface provided to you by EMB. Specifically access thru automated means including but not limited to scripts, web crawlers, etc. is prohibited.
   5.4 You agree to not do anything that will disrupt services to EMB's website, including but not limited to the site itself, data, servers, and networks.
   5.5 You agree to not copy, sell, trade, reproduce, duplicate or resell any aspect of EMB's services or data for any purpose.
   5.6 You agree that EMB has no responsibility to you or to any third party for any breach of these terms by you. You are solely responsible for your actions and any following consequences including any loss or damage that EMB may incur due to any breach of these terms.
   
6. Your passwords and account security
   6.1 You agree and understand that you are solely responsible for keeping your passwords and access information associated with EMB's website confidential.
   6.2 You agree that you are solely responsible for all activity occurring under your account.
7. Privacy and your personal information
   7.1 EMB's privacy policy
   
   • All information that you provide EMB will be kept private. EMB will not sell, trade, rent, give, or otherwise make public any of your information to any person or organization with the exception of Law Enforcement Officials when reasonably necessary or required by law.
   7.2 You agree to our privacy policy with your data.
8. Content in EMB
   8.1 You understand that all text and data contained in EMB's website and used by you or access provided to you for your use is the sole responsibility of the person who created the text or data. All this information is considered "Content" in the below sections.
   8.2 You agree that all Content may be protected by intellectual property rights owned by users, sponsors or advertisers who provide Content to EMB.
   8.3 EMB has the right to pre-screen, review, flag, filter, modify, refuse or remove any or all Content from any portion of the site.
   8.4 You use EMB's site at your own risk. Some information contained in this site may refer to a book that contains information you deem objectionable or offensive. It is your responsibility to avoid looking at the posts for those books.
   8.5 You agree to be solely responsible and all consequences forthcoming from all Content created by you on EMB's website, including damages incurred by EMB as a result of your Content. EMB has no responsibility to you or any third party for such Content.
9. Proprietary rights
   9.1 You agree that EMB owns all legal right, title and interest in the Services, whether those rights happen to be registered or not and wherever in the world those rights may exist. You acknowledge that the Services may contain confidential information and you shall not disclose any information without EMB's prior written consent.
   9.2 You agree that you have no right to use any of EMB's trade names, trademarks, service marks, logos, domain names, or other distinctive brand features.
   9.3 Other than the limited license set forth in Section 11, EMB acknowledges and agrees that it obtains no right, title or interest from you under these Terms or to any Content that you submit, post, transmit or display on, or through, the Services, including any intellectual property rights which subsist in that Content. You agree that you are responsible for protecting and enforcing those rights and that EMB has no obligation to do so on your behalf.
   9.4 You agree not to remove, obscure, or alter in any way any proprietary rights notices including copyright and trade mark notices which are in EMB's website.
   9.5 You agree not to use any trade mark, service mark, trade name, logo of any company or organization, that you find within EMB's website or through EMB's website, in any way that is likely to or intended to cause confusion about the owner or authorized user of such marks, names or logos.
10. License from EMB
    10.1 EMB gives you the license to use EMB's Software, provided to you by EMB, for use from any where in the world. The sole purpose of enabling you to use and enjoy the benefit of the service in the manner permitted by the Terms.
    10.2 You may not and you may not allow any one else to copy, modify, create a derivative work of, reverse engineer, decompile or otherwise attempt to extract the source code of the Software or any part of.
11. Content License from you
    11.1 You have the copyright and any other rights you already have in Content which you submit on EMB's website. By posting or displaying content on our site you are giving EMB a perpetual, irrevocable, worldwide, royalty free, and non-exclusive license to reproduce, adapt, modify, translate, publish, publicly perform, publicly display and distribute any Content which you submit, post or display on EMB's website.
    11.2 You agree that this license gives EMB the right to make such Content available to other companies, organizations, or individuals with whom EMB has relationships with.
    11.3 EMB may need to transmit or distribute your Content over various public networks and in various media or make changes to your Content to conform and adapt that Content to technical requirements of networks, device, etc in order to continue to provide the Services to our users and you understand and agree to these actions.
    11.4 You have the rights, power and authority to grant EMB the above License.
12. Software updates
    12.1 EMB reserves the right to make use of this section in the future, if at any time a download-able version of EMB software becomes available.
13. Ending your relationship with EMB
    13.1 The Terms will continue until terminated by EMB or you as described below.
    13.2 If you want to terminate your agreement with EMB, you may close your account by going to the Feedback section of EMB's website and letting us know in writing.
    13.3 EMB may terminate the agreement with you if:
    

    • You have breached any portion of the Terms or acted in such a way that is obvious that you do not intend or are unable to comply with the Terms or
    • EMB is required to do so by law or
    • In EMB's opinion, providing Services to you is no longer commercially viable.

    13.4 Nothing in this Section shall affect EMB's rights regarding provision of Services under Section 4 of the Terms.
    13.5 When the Terms come to an end, all the legal rights, obligations and liabilities that you and EMB have benefited from or been subject to shall be unaffected by this cessation and the provisions of paragraph 20.7 shall continue to apply to such rights, obligations and liabilities indefinitely.
14. Exclusion of Warranties
    14.1 Nothing in these terms, including sections 14 and 15, shall exclude or limit EMB's warranty or liability for losses which may not be lawfully excluded or limited by applicable law. Some jurisdictions do not allow the exclusion of certain warranties or conditions or the limitation or exclusion of liability for loss or damage caused by negligence, breach of contract or breach of implied terms, or incidental or consequential damages. Accordingly, only the limitations which are lawful in your jurisdiction will apply to you and our liability will be limited to the maximum extent permitted by law.
    14.2 You agree that use of EMB's website is at your sole risk. All services are provided "as is" and "as available".
    14.3 EMB makes no warranties to you that:
    

    • Our services will meet your requirements
    • Our services will be uninterrupted, timely, secure or free from error
    • Information will be accurate or reliable
    • That defects will be corrected.

    14.4 You are solely responsible for any damage caused to you or your systems, software and/or hardware due to downloaded or otherwise obtained information or programs from EMB's website.
    14.5 No advice or information, oral or written, from EMB shall be taken as warranty unless expressly stated in these terms.
    14.6 EMB further expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to the implied warranties and conditions of fitness for a particular purpose and non-infringement.
15. Limitation of Liability
    15.1 Subject to overall provision in 14.1 above, you expressly understand and agree that EMB, its subsidiaries and affiliates, and its licensors shall not be liable to you for:
    

    • Any damages you obtain, no matter the cause, whether tangible or intangible.
    • Any loss or damage from your failure to keep your password secure, your account information accurate and secure, the failure of content to be stored or maintained through your use of the services, any changes made by EMB that may cause loss of data to you, any reliance by you on the accuracy or existence of advertising and any transactions made between you and an advertiser on EBM's website.

    15.2 The limitations in 15.1 will apply no matter the awareness of EMB to the situation.
16. Copyright and trade mark policies
    16.1 EMB will disable accounts of all offenders of copyright or intellectual property abuse. User information may be provided to law enforcement as necessary for legal action.
17. Advertisements
    17.1 EMB is supported fully by advertising. Advertisements may target content related to EMB's website.
    17.2 Advertising on EMB's website may change.
    17.3 You accept advertising on our site.
18. Other Content
    18.1 EMB's website will include links to other websites. EMB has no control over any other websites.
    18.2 EMB will not be held responsible for the availability of any other websites and does not necessarily agree with products or services or opinions of any other website.
    18.3 You agree not to hold EBM responsible or liable for anything that happens to you because of any of the advertisements on EMB's website.
19. Changes to the Terms
    19.1 Changes may be made by EMB to these terms at any time. Terms are always available for review under the Rules page.
    19.2 Use of services constitutes agreement to the then current Terms posted on the Rules page.
20. General legal Terms
    20.1 If you use EMB's services to make a transaction with another company that companies Terms and conditions apply to that transaction. EMB's Terms only cover activity directly with EMB, they do not affect any legal relations with another company.
    20.2 These Terms form a whole legal agreement between you and EMB.
    20.3 EMB may contact you by email or postings on the site regarding changes in Terms.
    20.4 EMB's rights are not waived due to lack of enforcement of any legal right or remedy contained in these Terms. All rights and remedies are retained by EMB.
    20.5 If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms. The remaining provisions of the Terms will continue to be valid and enforceable.
    20.6 You agree that each member of the group of companies of which EMB is the parent shall be third party beneficiaries to the Terms and that such other companies shall be entitled to directly enforce, and rely upon, any provision of the Terms which confers a benefit on (or rights in favor of) them. Other than this, no other person or company shall be third party beneficiaries to the Terms.
    20.7 The Terms, and your relationship with EMB under the Terms, will be governed by the laws of the State of Oregon. You agree to submit to the exclusive jurisdiction of the courts located within the county of Washington, Oregon to resolve any legal matter arising from the Terms.
